This Seller Agreement ("Agreement") is between Rapidreelz, which operates the Rapidreelz marketplace ("Platform", "we", "us"), registered at AVN College Road, Visakhapatnam, Andhra Pradesh, and the business that applies to sell on the Platform ("Seller", "you"). By accepting it in the seller application you agree to it. Version 2026-10 dated 16 October 2026.
1. What the Platform does
The Platform is an online marketplace. We provide the place where Sellers list goods and buyers order them, we collect the buyer's payment, and we pay you your earnings as set out below. The sale is between you and the buyer. You are responsible for the goods, their description, their legality and their delivery.
2. Eligibility and your account
- You must be an individual or business that can lawfully sell in India, with the registrations the law requires for what you sell (for example GST registration where it applies).
- You give us true and complete details: legal name, business type, PAN, GSTIN where registered, addresses, contact details and bank or UPI details. You keep them up to date.
- We may ask for documents to verify you, and may approve, reject, suspend or close your account. Only people you authorise may use your account, and you are responsible for what they do.
- Keep your password and any login secret to yourself. Tell us at once if you think someone else has access.
3. Listings
- You may list only goods you are entitled to sell, that are not on the Prohibited Items Policy, and that are allowed by law.
- Titles, photos, descriptions, price, tax rate, stock, country of origin, weight and delivery details must be accurate. Photos must be your own or you must have the right to use them.
- New and changed listings may be reviewed before they go live. We may refuse, hide or take down a listing, with a reason, if it breaks this Agreement, the law or our policies, or if buyers complain about it.
- Prices include the GST that applies. You are responsible for charging the correct tax rate on each listing.
4. Orders, shipping and delivery
- When a buyer's payment is confirmed you will see the order in your portal. You must accept and ship it within 2 days (the "ship-by" time shown on the order), pack it properly and enter the courier and tracking number.
- If you cancel a paid order, or miss the ship-by time, the buyer is refunded in full and we may charge the seller fault fee shown in your settings (currently none).
- You ship to the buyer's address shown on the order, from the pickup address you registered, and you are responsible for the goods until they are delivered.
- You issue the tax invoice for each sale in your own name and GSTIN where you are registered. The Platform generates it for you from the order.
5. Returns, refunds and disputes
- You follow the Platform's Returns and Refunds policy. Buyers may return goods that arrive damaged, defective, wrong or not as described, and goods that are returnable under that policy, within 7 days of delivery.
- You answer a return request within the time shown. If you do not, or a buyer escalates your rejection, or a buyer says an order never arrived, the Platform decides the case from the evidence on both sides, and its decision on who bears the refund is final between you and us.
- A refund decided in the buyer's favour is deducted from your balance, including after your earnings were released to you. If your balance is not enough, it is carried forward and set against your next earnings, or you pay us the difference on request.
6. Our fees
- Commission. We charge a commission of 5%% of the taxable value of the goods on each order (not on delivery charges). Our commission is shown on every order in your portal.
- GST on commission. Where we are registered for GST, GST at the rate in force (18%) is added to the commission, and we issue you a tax invoice for it.
- Tax collected at source and deducted at source. Where the law requires us, as an e-commerce operator, to collect tax at source (TCS) or deduct tax at source (TDS) on your sales, we do so and deposit it with the government. The amounts are shown in your statements so you can claim them.
- We may change our fees or add new ones by giving you at least 30 days' notice. If you keep selling after the change takes effect, it applies to you.
7. How and when you are paid
- The buyer pays the Platform. We record each sale in your ledger. Your earnings are the sale amount less our commission, GST on commission, any TCS or TDS, any refunds and any amount you owe us.
- Earnings are held until the order is delivered and the return window (7 days after delivery) has ended and no return or dispute is open. After that they become available.
- We pay available earnings by bank transfer or UPI to the payout account you registered, on request or at our payout schedule (monthly, once the balance reaches the minimum), once your balance is at least ₹100. We may delay or hold payouts while we investigate fraud, a dispute, a legal request or a mismatch in your details.
- If you change your payout account we may wait 48 hours before paying to it. Payouts are made only to an account in the name of the registered business.
8. Your conduct
- Do not sell counterfeit, stolen or illegal goods, manipulate reviews, take buyers off the Platform to pay elsewhere, misuse buyer information, or share a buyer's details with anyone except to deliver the order.
- Use buyer details only to fulfil the order, as the law on personal data allows.
- Treat buyers, staff and other Sellers politely.
9. Intellectual property
You keep the rights in your listings and photos. You give us a non-exclusive, free licence to show, copy and adapt them on the Platform and in our marketing of the Platform, for as long as the listing is live and for a reasonable time after. You promise that you have the rights to do so and that your goods and content do not infringe anyone else's rights.
10. Suspension, termination and closing
- We may suspend or close your account at once for a serious breach, fraud, repeated complaints, or if the law requires. We may also close it for any reason by giving you 30 days' notice. You may close your account by writing to us once your open orders are completed.
- When an account closes, open orders must still be completed. Your balance, less amounts you owe, is paid out after the return window of your last order has ended. We keep records as the law requires.
11. Liability
To the extent the law allows, the Platform is not liable for indirect or consequential losses, or for losses caused by events outside our reasonable control. You are responsible to us for losses, claims and penalties caused by your goods, listings, tax compliance or breach of this Agreement, and you will cover them. Nothing here limits liability that cannot be limited by law.
12. Complaints and grievances
Write to our Grievance Officer: Srikanth, support@rapidreelz.in, 9985590477. See the Grievance Redressal policy.
